Recitals and Purpose

WHEREAS, Company requires that all financial relationships, disbursements, claims, and accounting processes be conducted in compliance with applicable anti-fraud, waste and abuse practices; and

WHEREAS, Vendor provides goods or services to Company and acknowledges the financial controls, reporting obligations, and remedial measures described herein.

Definitions

For purposes of this Agreement, "FWA" means fraud, waste or abuse in connection with financial transactions, claims, billings, disbursements, or reporting. "Report" or "Reporting" means timely submission of known or suspected FWA to the designated program manager in accordance with Section Reporting Procedures.

Vendor Obligations

Vendor represents and warrants that it will: (a) maintain financial controls and records sufficient to detect and prevent FWA; (b) promptly report any known or suspected FWA; (c) cooperate with any audit or investigation; and (d) implement corrective action when deficiencies are identified.

Reporting Procedures

Reports of suspected FWA must be made to Company’s designated FWA Program Manager. The Report should include the nature of the allegation, date(s) of the event(s), affected amounts, and any supporting documentation.

Financial Remedies and Withholding

If an investigation substantiates FWA, Company may seek recovery of monies improperly billed or paid, assess liquidated damages, withhold future payments, and require reimbursement of investigative and remediation costs.

Audit Rights and Record Retention

Vendor shall retain financial records, supporting documentation, and evidence of compliance for the retention period below and shall permit Company or its representatives to inspect, audit, and copy such records upon reasonable notice.

Confidentiality and Use of Information

Information disclosed in connection with an FWA investigation shall be treated as confidential to the extent permitted by law. Company may share findings with regulatory authorities as required by statute or regulation.

Indemnification

Vendor shall indemnify and hold Company harmless from any losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from Vendor’s breach of this Agreement, negligent acts, omissions, or from any fraudulent conduct by Vendor or its agents.

Term and Termination

This Agreement commences on the Effective Date and continues until terminated by either party for cause upon written notice or without cause upon the notice period below.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of law principles. The parties agree to attempt resolution by negotiation prior to commencing litigation.

All notices or demands required under this Agreement shall be sent to the addresses and contacts listed above or to updated contacts provided in writing in accordance with this section.
