Recitals

WHEREAS, the General Partner manages the Fund identified above pursuant to the Fund's governing partnership agreement and related organizational documents (the Governing Documents); and

WHEREAS, the Requesting Party has requested that the General Partner consent to the transaction or action described below (the Transaction) and the General Partner is willing to provide such consent subject to the terms and conditions set forth in this Consent.

Consent

Subject to the terms, conditions and limitations set forth in this Consent, the General Partner hereby consents to the Transaction described above, solely to the extent expressly set forth herein. This Consent does not constitute a waiver of any other rights, remedies or approvals required under the Governing Documents except as expressly stated.

The foregoing consent is expressly conditioned upon each of the following, each of which must be satisfied prior to the effectiveness of this Consent:

  1. Payment in full of any consent fee specified below and reimbursement of any reasonable legal or administrative costs incurred by the General Partner in connection with the review and documentation of the Transaction.
  2. Execution and delivery of any ancillary documents reasonably requested by the General Partner to effectuate the Transaction.
  3. Certification by the Requesting Party that the Transaction, as consummated, will not breach or contravene the Governing Documents or applicable law.

Representations, Warranties and Covenants

The Requesting Party represents and warrants to the General Partner that: (a) it has full power, authority and legal right to request the Transaction and to perform its obligations under this Consent; (b) the execution, delivery and performance of the Transaction will not violate any contract, law or the Governing Documents; and (c) all information delivered to the General Partner in connection with the request for consent is true, complete and accurate in all material respects.

The General Partner represents and warrants that it has the authority under the Governing Documents to grant the limited consent set forth in this Consent, subject only to the conditions expressly stated herein.

Indemnification

To the fullest extent permitted by law, the Requesting Party shall indemnify, defend and hold harmless the General Partner and its affiliates, partners, officers, directors and agents from and against any and all losses, liabilities, claims, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to the Transaction or any breach of the representations, warranties or covenants made by the Requesting Party in this Consent.

Confidentiality

The parties acknowledge that information exchanged in connection with the request for and grant of consent may be confidential. Neither party will disclose such information except as required by law or with the prior written consent of the disclosing party. Notwithstanding the foregoing, the General Partner may disclose the existence and terms of this Consent to the Fund or its advisers to the extent reasonably necessary to administer the Fund.

Governing Law and Jurisdiction

This Consent shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for any dispute arising under this Consent.

All notices under this Consent shall be in writing and delivered to the addresses set forth below (or to such other address as a party designates by notice).

Miscellaneous

This Consent constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior communications and agreements. Any amendment or waiver must be in writing and signed by both parties. If any provision of this Consent is held invalid, the remaining provisions shall remain in full force and effect.
