FINANCIAL GRANTS ADDENDUM

This Financial Grants Addendum (the "Addendum") is made effective as of by and between the parties identified below and supplements the original grant agreement referenced herein.

Reporting and Deliverables

Grantee shall submit the following reports and deliverables to Grantor in the format and on the schedule specified below. Failure to submit required reports may delay or suspend disbursements.

Grantee shall maintain complete and accurate records of expenditures and activities supported by the funds and permit Grantor or its designee to audit these records upon reasonable notice. Records shall be retained for a period of following final payment or as required by applicable law, whichever is longer.

Representations, Warranties and Compliance

Grantee represents and warrants that it has authority to enter into this Addendum; that the information submitted in connection with the grant is true, complete, and accurate; and that grantee will comply with all applicable laws, regulations and grant conditions. Grantor makes no representations or warranties other than those expressly set forth in the original agreement as amended by this Addendum.

Termination; Remedies

In the event of material breach, misuse of funds, failure to submit reports, or violation of applicable law, Grantor may withhold further disbursements, require repayment of funds, suspend or terminate the grant as set forth in the underlying agreement. Remedies are cumulative and not exclusive.

This Addendum shall be governed by and construed in accordance with the laws specified in the original agreement.
