Expenses, Taxes, and Additional Fees

Billing and Payment Terms

Late Payment: Overdue amounts will accrue interest at , and Provider may suspend services pending payment.

Cancellation, Changes, and Defaults

Confidentiality, Indemnity, and Liability

Confidential information shall not include information that is public or independently developed without reference to the other party's confidential information.

Indemnity: Each party agrees to indemnify, defend and hold harmless the other party from third-party claims arising from its gross negligence or willful misconduct in connection with the performance of this Agreement.

Limitation of Liability: Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable for consequential, incidental or punitive damages. Provider's aggregate liability for any claim arising under this Agreement shall not exceed the fees paid by Client for the specific services giving rise to the claim.

Termination

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for thirty (30) days after written notice. Termination does not release Client from payment obligations for services performed and approved expenses incurred prior to termination.

Miscellaneous

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction agreed by the parties. Any disputes shall be resolved through negotiation and, if necessary, binding arbitration or courts as agreed in writing.
