Guarantee

Payment and Demand

Guarantor's liability is primary and unconditional. Upon written demand by Beneficiary following an Event of Default by Principal, Guarantor shall promptly pay the amounts demanded, without requirement that Beneficiary first pursue remedies against Principal or exhaust any collateral.

Waiver; Defenses; Subrogation

Guarantor expressly waives: (a) notice of acceptance of this guaranty; (b) notice of any extension, modification, renewal or forbearance granted by Beneficiary to Principal; (c) presentment, demand, protest, and notice of dishonor; and (d) any right to require Beneficiary to proceed against Principal or to pursue any other remedy. Guarantor shall not assert any right of subrogation, claim, or reimbursement from Principal until all Guaranteed Obligations have been indefeasibly paid in full.
