Taxes: Prices exclude applicable sales, use, VAT or similar taxes and duties; such amounts will be invoiced in addition to the Total unless Supplier is provided a valid tax exemption certificate prior to invoicing.

Cancellation: Client may not cancel accepted orders without Supplier's prior written consent. Approved cancellations may be subject to cancellation fees including but not limited to restocking and work-in-progress costs. Returns are subject to Supplier return authorization and may incur restocking fees.

Confidentiality: Both parties agree that pricing, technical specifications and negotiated commercial terms contained herein are confidential commercial information and shall not be disclosed to third parties except as required by law or as necessary to perform the obligations under an ensuing agreement.
