This Financial Hosted Quote constitutes an offer to provide the described hosted financial services under the terms set forth herein. Acceptance of this Quote by the Client creates a binding agreement only when the Client signs and returns this document or when the Client issues a written purchase order referencing this Quote and the Company acknowledges receipt.

Payment and Taxes: Client is responsible for all applicable taxes, duties, and assessments associated with services, excluding taxes based on the Company's net income. Unless otherwise stated, quoted fees do not include sales, value-added, or similar taxes, which will be invoiced in addition to the Total.

Limitation of Liability: Except for willful misconduct or gross negligence, the Company's aggregate liability arising from or related to this Quote and any resulting agreement shall not exceed the amount actually paid by Client for the first twelve (12) months of services set forth in this Quote. In no event shall either party be liable for incidental, consequential, or punitive damages.

Termination: Either party may terminate the services in accordance with termination provisions set forth in a resulting agreement. Termination or suspension for non-payment is permitted following written notice and expiration of any cure period described in Payment Terms.
