FINANCIAL HOSTING AGREEMENT

This Financial Hosting Agreement (the Agreement) is entered into as of by and between:

Recitals and Definitions

WHEREAS, Provider operates infrastructure and managed services for hosting financial systems and related data; and WHEREAS, Client desires to retain Provider to host and operate Client financial applications and data under the terms set forth herein.

Capitalized terms used but not defined in this Agreement shall have the meanings assigned in Appendix A Definitions.

Security, Compliance and Data Protection

Provider shall implement and maintain administrative, technical and physical safeguards reasonable for protection of Client Data, including access controls, logging, encryption, vulnerability management, and segregation of environments. Provider will notify Client of any unauthorized access or data breach affecting Client Data within of discovery.

Fees, Invoicing and Payment

Client agrees to pay Provider for Services in accordance with the Fee Schedule below. Invoices shall be issued monthly unless otherwise agreed.

Term and Termination

The initial Term of this Agreement is commencing on the Effective Date. This Agreement will unless either party provides written notice of non-renewal at least days prior to the then-current term end.

Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days of written notice. Termination for insolvency, repeated failures to meet Service Levels, or lawful regulatory order may be immediate.

Confidentiality and Data Ownership

Client retains all right, title and interest in Client Data. Provider will treat Client Data as Confidential Information and will not use or disclose Client Data except to perform the Services or as required by law, subject to prior notice where permitted.

Warranties, Indemnities and Liability

Provider warrants that it will perform Services in a professional manner consistent with industry practice. EXCEPT AS EXPRESSLY PROVIDED, ALL OTHER WARRANTIES ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

The aggregate liability of Provider for direct damages arising from this Agreement shall be limited to the greater of (i) the aggregate fees paid by Client to Provider under this Agreement in the preceding twelve (12) months, or (ii) .

Client may audit Provider's controls relevant to the Services upon reasonable notice and during normal business hours, subject to confidentiality and audit scope limitations.

Governing Law; Dispute Resolution
