The Charging Entity will provide documentation supporting charges upon request and both parties shall retain accounting records for a period of at least seven (7) years.

The Receiving Entity shall indemnify and hold harmless the Charging Entity from liabilities arising from misuse of charged services except to the extent caused by gross negligence or willful misconduct of the Charging Entity.

Term, Amendment & Termination

This ICA shall commence on the Effective Date and continue until terminated by either party upon thirty (30) days' prior written notice. Material amendments to the allocation basis or charge schedule require written agreement signed by authorized representatives of both parties.

Dispute Resolution & Governing Law

Parties will attempt in good faith to resolve all disputes related to this ICA through escalation between senior finance representatives. If unresolved within forty-five (45) days, disputes shall be resolved by arbitration in accordance with the rules agreed by the parties.
