1. The interim financial statements of the Company furnished to the Lender and dated (the "Interim Financial Statements") fairly present in all material respects the financial position of the Company as at their respective dates and the results of operations and cash flows for the periods presented, subject only to normal recurring year-end adjustments. All material accounting policies are fully disclosed in the Interim Financial Statements.

2. Since the date of the Interim Financial Statements through the Certificate Date, there has been no material adverse change in the financial condition, business, properties or results of operations of the Company other than as disclosed in Schedule of Exceptions below or as described in the field titled Additional Material Changes.

3. The Company is not in default under the Agreement or any related security documents except as described below. All notices of default given to the Company have been withdrawn or cured unless otherwise set forth in Defaults or Events of Default below.

4. There are no actions, suits, arbitrations or governmental investigations pending or, to the knowledge of the certifying officers, threatened against the Company which, if adversely determined, would reasonably be expected to have a material adverse effect on the business, operations, financial condition or ability of the Company to perform its obligations under the Agreement, except as set forth below.

5. To the certifying officers' knowledge, since the Certificate Date, no proceedings under any insolvency, bankruptcy or receivership laws have been instituted by or against the Company and the Company is not insolvent. The Company is able to pay its debts as they come due in the ordinary course of business.

6. All books, records and accounting ledgers of the Company have been maintained in accordance with customary industry practices and present fairly, in all material respects, the transactions and financial position of the Company for the periods covered by the Interim Financial Statements.

7. The officers signing below are duly elected or appointed officers of the Company, are familiar with the matters set forth in this Certificate and are authorized to execute and deliver this Certificate on behalf of the Company. The statements contained herein are made with the knowledge that the Lender will rely upon this Certificate in determining compliance with the Agreement and related credit documents.
