This Financial Investment Addendum (the "Addendum") amends the Investment Agreement referenced above (the "Agreement"). The parties agree that the Agreement is amended as set forth herein, and except as expressly modified by this Addendum, all terms and conditions of the Agreement remain in full force and effect.

Payment of the Additional Investment Amount shall be made in immediately available funds to the Issuer in accordance with the election below. Unless otherwise agreed in writing, funds delivered after 5:00 p.m. on the scheduled closing date shall be deemed delivered on the next business day.

Each party represents and warrants to the other that it has full power and authority to enter into this Addendum and to perform its obligations hereunder. In addition, the Investor represents and warrants as follows:

Conditions Precedent

The obligations of the parties to effect the Additional Investment are subject to the satisfaction, on or prior to the closing, of the following conditions precedent:

  1. Delivery by Investor of the Additional Investment Amount in cleared funds in accordance with the payment instructions above.
  2. Delivery by the Issuer of evidence that all corporate and regulatory approvals necessary for issuance of the securities have been obtained.
  3. Execution by the parties of all documents reasonably necessary to effect issuance and registration, if applicable.

Amendments to Agreement

The Agreement is hereby amended as follows. Any capitalized terms used but not defined below retain the meaning given in the Agreement.

Except as expressly amended by this Addendum, the Agreement remains unmodified and in full force and effect. In the event of a conflict between the terms of this Addendum and the Agreement, the terms of this Addendum shall control.

Covenants; Indemnification

Each party covenants to perform in good faith all acts reasonably necessary to carry out this Addendum. The Investor shall indemnify and hold harmless the Issuer and its officers against any third-party claims arising from misrepresentations by the Investor. The Issuer shall indemnify Investor for breaches of the Issuer's representations or failures to deliver securities in accordance with the Agreement and this Addendum.

Notices

All notices, demands or other communications required or permitted under this Addendum shall be in writing and delivered to the addresses set forth below (or such other address as a party may specify in writing in accordance with this section).

Governing Law; Dispute Resolution

This Addendum shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law. Any dispute arising under or in connection with this Addendum shall be resolved as provided in the Agreement.

Miscellaneous

This Addendum may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument. Electronic or facsimile signatures shall have the same force and effect as original signatures. If any provision of this Addendum is held invalid, the remaining provisions shall remain in full force and effect.
