Payment is due in accordance with the Payment Terms above. A late fee of 1.5% per month (or the highest rate permitted by applicable law, if lower) will be applied to past-due balances. The Issuer may suspend delivery of additional goods or services for unpaid accounts.

All amounts invoiced are exclusive of any taxes, duties or similar assessments unless stated otherwise. The Client is responsible for sales, use, value-added or other taxes arising from this transaction, excluding taxes based on the Issuer's net income.

Disputes: The Client must notify the Issuer in writing of any disputed amounts within 10 calendar days of Invoice Date. Failure to timely dispute shall constitute an unconditional acceptance of the invoiced amounts. Disputed items do not relieve the Client of its obligation to pay undisputed portions when due.

Remedies and Collection: If collection action is required to enforce payment, the Client shall be liable for reasonable collection costs, including attorneys' fees, court costs and related expenses. No setoff, deduction or counterclaim by the Client shall be permitted unless agreed in writing by the Issuer.

Governing Law and Venue: This invoice and any disputes arising hereunder shall be governed by the laws of the jurisdiction where the Issuer's principal place of business is located. The parties consent to the exclusive venue of the competent courts located in that jurisdiction.

Non-Waiver: Delay or failure to enforce any provision does not constitute a waiver. Electronic delivery of this invoice is effective and accepted by both parties unless otherwise notified in writing.
