Payment is due in accordance with the Due Date above. Unpaid balances past Due Date shall incur a late fee equal to the greater of 1.5% per month (18% APR) or the maximum permitted by law, assessed daily on the outstanding balance from the day after the Due Date until paid. Issuer reserves the right to suspend services or withhold deliverables until past due amounts are paid in full.

Terms & Conditions

Payment Terms: Client agrees to pay the Total Due in full according to the Due Date. Accepting this insertion order or remitting payment constitutes an unambiguous obligation to pay for services and/or goods set forth herein.

Taxes: All fees are exclusive of taxes. Client is responsible for any sales, use, value-added, or other transaction taxes, duties, or assessments, unless Client provides a valid exemption certificate prior to invoicing.

Deliverables & Acceptance: Deliverables specified in the itemized charges will be provided in accordance with the agreed schedule. Client must notify Issuer in writing of any nonconformity within five (5) business days of delivery; absent such notice, deliverables shall be deemed accepted.

Changes & Cancellations: Any changes to the scope, schedule, or budget require written approval and may result in price or schedule adjustments. Cancellation fees may apply if services are terminated prior to completion.

Limitation of Liability & Indemnity: Except for willful misconduct or gross negligence, each party's aggregate liability for direct damages under this IO shall be limited to the Total Due. Client shall indemnify Issuer for claims arising from Client's materials, instructions, or breach of this IO.

Confidentiality: Each party will retain the other's confidential information in confidence and will not disclose such information except as required by law. Confidential obligations survive termination of this IO.

Governing Law & Dispute Resolution: This IO will be governed by the laws of the jurisdiction specified by the Issuer. Parties agree to negotiate in good faith to resolve disputes and may pursue remedies available at law or equity.

Certification: By signing below, Issuer certifies that the charges above accurately reflect services or goods provided and that Issuer is authorized to invoice Client for these charges. Issuer affirms that fees are not subject to offset except as agreed in writing.
