Covenants, Releases and Representations

Lessor represents that, upon receipt and clearance of the Final Settlement Amount identified above, Lessor will execute and deliver any documents reasonably necessary to release any security interests, liens, or encumbrances recorded against the leased asset(s) solely by reason of the Lease identified by Lease Number: .

Lessee represents and warrants that all obligations for use, maintenance, insurance, taxation, and ordinary wear have been performed through the Final Payment Date and that no material claims exist against the leased asset(s) other than those disclosed in writing to Lessor and recorded in this Agreement.

Upon full payment, each party releases the other from further obligations arising solely from the Lease for periods prior to the Effective Date of this Agreement, except for claims arising from fraud, willful misconduct, or gross negligence of the other party.

If any party fails to perform an obligation under this Agreement, the non-defaulting party may pursue all rights and remedies available at law or in equity, including recovery of reasonable costs and attorneys' fees incurred in enforcing this Agreement, except to the extent prohibited by applicable law.
