Security, Title and Taxes

Title to the equipment shall remain with Lessor until all amounts due under this Agreement have been paid in full. Lessee grants to Lessor a first priority security interest in the equipment and in all proceeds and accessions thereto. Lessee shall bear and pay all sales, use, excise, personal property and other taxes, fees and assessments relating to the equipment, excluding taxes measured by Lessor's net income.

Lessee authorizes Lessor to file financing statements and any other instruments necessary to perfect and maintain Lessor's security interest. Lessee authorizes UCC filings.

Insurance, Maintenance and Use

Lessee shall, at its own expense, maintain insurance on the equipment in amounts and with coverages reasonably satisfactory to Lessor, naming Lessor as loss payee and additional insured as applicable. Lessee shall maintain the equipment in good working order and immediately notify Lessor of loss, theft or damage.

Default and Remedies

Events of Default include failure to pay when due, insolvency, breach of material covenant, or misrepresentation by Lessee. Upon Event of Default, Lessor may declare all sums immediately due and payable, retake possession of the equipment, repossess or otherwise exercise all rights and remedies under applicable law, and recover costs of collection, repossession and reasonable attorneys' fees.

Purchase Option

At the expiration of the Lease Term, Lessee shall have the option to purchase the equipment for: if Lessee is not in default and provides notice to Lessor no later than days prior to the expiration date.

Representations, Warranties and Covenants

Each party represents and warrants that it has full corporate power and authority to enter into this Agreement, that the execution and performance of this Agreement have been duly authorized, and that this Agreement constitutes a legal, valid and binding obligation enforceable in accordance with its terms.

Governing Law; Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the State specified by the parties below. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. No amendment shall be effective unless in writing signed by both parties.
