This Financial Lease Package (the Lease) is made between Lessor identified above and Lessee identified above. Capitalized terms used and not defined herein shall have the meanings assigned in this document. The equipment described in the Equipment Schedule is the "Equipment."

Lessee is responsible for all sales, use and other taxes attributable to the Lease unless Lessor agrees in writing to collect and remit such taxes. Tax identification for Lessee:

PAYMENT & DEFAULT

Payments shall be made to Lessor at the address set forth in the Notices section or at such other place as Lessor designates. Late payments shall bear a late fee equal to the lesser of 5% of the delinquent amount or the maximum permitted by law. Lessee will be in default upon failure to pay when due, insolvency, or breach of any material representation.

INSURANCE, MAINTENANCE & USE

Lessee shall maintain insurance covering the full replacement value of the Equipment, naming Lessor as loss payee. Lessee shall maintain the Equipment in good working condition and shall use the Equipment only for lawful commercial purposes.

TAXES, TITLE & SECURITY

Title to the Equipment shall remain with Lessor. Lessee shall not encumber the Equipment. Lessee shall pay all taxes, assessments and fees related to ownership, possession or use of the Equipment, other than taxes based on Lessor's net income.

ASSIGNMENT & MISCELLANEOUS

Lessor may assign or transfer its rights under this Lease. Lessee may not assign without Lessor's prior written consent. This Lease constitutes the entire agreement between the parties with respect to the Equipment and supersedes all prior agreements.

NOTICES

All notices shall be in writing and delivered to the addresses below by certified mail, personal delivery, or overnight courier.

REPRESENTATIONS & WARRANTIES

Each party represents and warrants that it has the power and authority to enter into this Lease and that the execution and performance thereof do not violate any law or agreement binding on such party. Lessee further represents that the Equipment will be used in its ordinary course of business and not for personal, family or household purposes.
