FINANCIAL LODGEMENT AUTHORITY

Authority Granted

The Principal appoints the Agent and authorises the Agent, during the term of this Financial Lodgement Authority, to perform any of the following acts on behalf of the Principal, subject to the limitations set out in this document:

  Lodge and file documents, instruments, easements, caveats, discharge of securities and any other registrable instruments with relevant registries or authorities.

  Sign settlement statements, receipts, releases, authorities to debit or credit accounts, and any ancillary documents necessary to effect settlement of the financial transaction.

  Receive, hold, disburse and transfer funds on behalf of the Principal into the following nominated account in accordance with the Principal's instructions:

Lodgement Instructions and Limits

The Agent is authorised to lodge funds and documents for amounts up to: (principal currency units). Any lodgement exceeding the amount specified above requires written prior approval from the Principal.

This Authority commences on and, unless earlier revoked in writing by the Principal, expires on .

Fees, Disbursements and Payment Handling

The Agent may deduct reasonable fees and disbursements from funds received under this Authority as set out below or as otherwise agreed in writing:

Representations, Warranties and Indemnity

The Principal represents and warrants that the funds which are to be lodged by the Agent are not proceeds of unlawful activity and that the Principal has full authority to direct such funds. The Principal indemnifies and holds harmless the Agent, its officers, employees and agents against all liabilities, losses, costs and expenses (including legal costs on a full indemnity basis) arising directly from the Agent acting in accordance with this Authority, except to the extent such liabilities result from the Agent's gross negligence or wilful misconduct.

Limitations and Conditions

The Agent must: (a) act in good faith and with reasonable care; (b) follow any written instructions provided by the Principal that are not inconsistent with this Authority; and (c) provide the Principal with written confirmation and copies of all documents lodged and full accounts of funds received and disbursed within five (5) business days of lodgement or disbursement.

The Agent is not required to take any action if there is a reasonable question as to the authority of the person purporting to instruct the Agent or if compliance would, in the Agent's reasonable opinion, expose the Agent to regulatory risk.

Notices

Notices under this Authority must be in writing and delivered to the contact details provided below. A notice is taken to be received on the date of delivery when delivered by hand or by email on the date of transmission if sent during normal business hours, otherwise on the next business day.

Revocation

The Principal may revoke this Authority by giving written notice to the Agent. Revocation will take effect on the date specified in the revocation notice or, if no date is specified, five (5) business days after the Agent receives the written revocation.

Confidentiality and Privacy

The Agent will treat personal and financial information provided by the Principal as confidential and will only use or disclose that information to the extent necessary to carry out the functions authorised by this Authority or as required by law.

Additional Terms

By signing below, the Principal certifies that they have read and understood this Financial Lodgement Authority, that the information provided is true and correct, and that they authorise the Agent to act in accordance with the powers granted herein. The Agent acknowledges acceptance of the appointment and agrees to act in accordance with the terms of this Authority.

Principal acknowledges the possible application of anti-money laundering and counter-terrorism financing obligations and agrees to provide, upon request, proof of identity and source of funds to the Agent prior to any lodgement.
