Default, Termination, and Remedies

Issuer may suspend or terminate Member participation for material breach, including but not limited to non-payment of fees, fraud, or misuse of benefits. Upon termination for cause, Member forfeits all accrued but unused benefits unless otherwise required by law. Remedies for breach are cumulative and include injunctive relief and recovery of reasonable collection and legal costs.

Limitation of Liability and Indemnification

Except to the extent prohibited by applicable law, Issuer's aggregate liability arising out of or related to this Agreement shall not exceed the total fees actually paid by Member for the renewal term. Member shall indemnify and hold Issuer harmless from claims arising from Member's misuse of program benefits or violations of applicable law.

Governing Law, Notices, and Dispute Resolution

This Agreement is governed by the laws governing the Issuer’s principal place of business, without regard to conflict of law principles. All notices shall be in writing to the addresses provided below. Disputes shall be resolved through binding arbitration unless otherwise prohibited by law.

Miscellaneous Provisions

Entire Agreement: This Renewal, together with the Program Terms and any prior express written amendments, constitutes the entire agreement between the parties with respect to renewal of the loyalty program membership. Any amendment must be in writing and signed by both parties.
