Representations and Warranties

Each party represents and warrants to the other that: (a) it is duly organized and in good standing under the laws of its jurisdiction of formation; (b) it has full power and authority to enter into and perform its obligations under this Agreement; and (c) execution and delivery of this Agreement and the consummation of the transactions contemplated herein will not conflict with or result in a breach of any material agreement to which it is a party.

Confidentiality

All non-public information disclosed by one party to the other in connection with this Agreement shall be treated as confidential and shall not be disclosed to third parties except as required by law or as necessary to perform the services under this Agreement. Confidential information shall remain the property of the disclosing party and shall be returned or destroyed upon termination, except to the extent retention is required by applicable law.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against any and all claims, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of a breach by the indemnifying party of its representations, warranties, covenants or obligations under this Agreement, except to the extent caused by the indemnified party's gross negligence or willful misconduct.

Limitation of Liability

Except for liability arising from willful misconduct or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages. Except as otherwise provided in a Transaction Schedule, the aggregate liability of either party arising out of or related to this Agreement shall not exceed the total fees paid or payable to Party A under the applicable Transaction Schedule during the twelve (12) months preceding the event giving rise to the claim.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue until terminated by either party upon days' prior written notice. Either party may terminate this Agreement immediately for material breach by the other party that remains uncured for thirty (30) days after notice.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. The parties shall seek to resolve disputes in good faith through negotiation. If negotiations fail, disputes shall be finally resolved by binding arbitration in accordance with the rules agreed in a Transaction Schedule or, absent such agreement, by arbitration administered in the county of the governing law.

Notices

Notices under this Agreement shall be in writing and delivered to the addresses set forth below. Notice is effective upon personal delivery, one (1) business day after delivery by reputable overnight courier, or three (3) business days after deposit in the U.S. mail, certified or registered mail, return receipt requested.

Amendment; Assignment; Counterparts

This Agreement may be amended only by a written instrument signed by both parties. Neither party may assign this Agreement without the prior written consent of the other party, except that Party A may assign to an affiliate or successor in connection with a permitted business transfer. This Agreement may be executed in counterparts, each of which will be deemed an original, and all of which together will constitute one and the same instrument.
