Whereas the Principal is the lawful owner or authorized signatory of the accounts identified in the Schedule of Accounts below, and Whereas the Principal desires to appoint the Authorized Agent to give instructions and to act on the Principal's behalf with respect to those accounts, the Principal and the Authorized Agent agree as follows.

Appointment and Scope of Authority

The Principal hereby appoints the Authorized Agent and grants the Agent full authority to instruct financial institutions, payment systems and third parties to:

a) Initiate, authorize, amend and cancel payments, transfers, direct debits and standing orders from the accounts listed in the Schedule of Accounts; and

b) Receive account and transaction information, to execute documents reasonably necessary to effect transfers, and to endorse and negotiate instruments on behalf of the Principal to the extent described in this document.

Authorization to Financial Institutions

The Principal authorizes any financial institution holding accounts listed above to accept and act upon instructions, whether given in writing, electronically, or by telephone, from the Authorized Agent as if such instructions were given by the Principal. The Principal acknowledges that the Principal's financial institution may rely upon such instructions without further inquiry and that the Principal will remain bound by actions taken by the financial institution in reliance on the Agent's instructions.

Representations, Warranties and Covenants

The Principal represents and warrants that the Principal has full power, authority and legal capacity to grant this mandate; that the accounts listed are under the Principal's control; and that no other mandate, order or restriction will conflict with the instructions of the Authorized Agent. The Authorized Agent represents that it will act only within the authority granted herein and will comply with applicable laws and bank policies.

Fees, Costs and Liability

The Principal agrees to indemnify and hold harmless the Authorized Agent and any financial institution from and against any claims, losses or liabilities arising from instructions given pursuant to this mandate except to the extent resulting from the gross negligence or willful misconduct of the indemnified party.

Confidentiality and Data Handling

The Authorized Agent shall treat all information obtained pursuant to this mandate as confidential and shall process personal data only for the purposes of performing the mandate. The Agent shall implement reasonable security measures to protect account information.

Term, Termination and Revocation

This mandate commences on the Effective Date above and continues until terminated by either party upon written notice. Termination shall not affect transactions initiated prior to the effective date of termination. The Principal may revoke this mandate by delivering written notice to the Agent and the affected financial institutions; however, the financial institution may require a reasonable period to act on the revocation.

Governing Law and Jurisdiction

This document shall be governed by and construed in accordance with the laws selected by the Principal below. Any dispute arising under this mandate shall be subject to the exclusive jurisdiction of the courts selected below.

Amendments and Assignment

This mandate may be amended only by a written instrument signed by both the Principal and the Authorized Agent. Neither party may assign its rights or obligations under this mandate without the prior written consent of the other party, except that the Agent may assign to an affiliate with prior notice to the Principal.
