Except for loss arising from gross negligence, willful misconduct or fraud, Mandate Holder's liability shall be limited to direct damages not to exceed the total fees paid to Mandate Holder under this Mandate in the preceding twelve (12) months.

This Mandate shall continue until terminated by either party upon thirty (30) days' prior written notice to the other party, or earlier upon the occurrence of a material breach that remains uncured for fifteen (15) days after written notice. This Mandate may be revoked by the Client at any time by written notice, provided such revocation shall not affect actions properly taken by Mandate Holder prior to receipt of such notice.
