Definitions

For purposes of this Agreement, the following defined terms apply: "Licensed Data" means the market data feeds, derived datasets, reference data and related metadata expressly set forth in Schedule A. "Use" means internal distribution, display, storage and analytical processing as expressly permitted below. Other defined terms are set forth in this Agreement and Schedule A.

Licensed Data; Delivery

Licensor grants Licensee a non-exclusive, non-transferable license to receive and use the Licensed Data solely for the Permitted Use described below and subject to payment of Fees and compliance with restrictions in this Agreement. Delivery and updates shall be provided according to the delivery method selected in Schedule A.

Permitted Use and Restrictions

Licensee may use Licensed Data solely for internal business analysis, valuation, research, and display to authorized internal users, and only in accordance with the terms set forth in this Agreement. Redistribution, sublicensing, sale, provision to third-party data vendors, or public display beyond Licensee's authorized users is expressly prohibited unless a separate written license is executed by Licensor.

Fees, Invoicing and Payment

Licensee shall pay Licensor the Fees set forth in Schedule A and any invoiced implementation or setup charges. Fees are exclusive of taxes. Payment is due in accordance with the payment terms below.

        

Term, Renewal and Termination

The initial term begins on the Effective Date and continues for unless earlier terminated as provided below. Renewal and termination provisions follow.

Termination for Material Breach: Either party may terminate this Agreement on written notice if the other party fails to cure a material breach within thirty (30) days following receipt of written notice specifying the breach.

Confidentiality and Data Handling

Each party will maintain the confidentiality of Confidential Information disclosed by the other and use at least the same degree of care as it uses for its own similar information, but not less than reasonable care. Licensed Data is deemed Licensor Confidential Information.

Audit Rights

Licensor may audit Licensee's use of Licensed Data to verify compliance, provided Licensor gives at least days' notice and audits occur during normal business hours. Licensee shall provide reasonable access to records. If an audit reveals underpayment, Licensee will pay the shortfall and reasonable audit costs if the shortfall exceeds five percent (5%).

Intellectual Property; Ownership

Licensor retains all right, title and interest in and to the Licensed Data, including all intellectual property rights and derivative works. Licensee acquires only the limited license rights expressly granted herein.

Warranties; Disclaimers

Licensor warrants that it has the right to license the Licensed Data and will provide the Licensed Data in substantially the form described in Schedule A. EXCEPT AS EXPRESSLY PROVIDED, LICENSOR DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

Except for liability arising from willful misconduct, gross negligence, or breach of confidentiality or indemnification obligations, each party's aggregate liability for direct damages under this Agreement will not exceed or the total Fees paid in the twelve (12) months preceding the claim, whichever is less. Neither party will be liable for consequential, incidental, special or punitive damages.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising from (i) the indemnifying party's breach of its representations, warranties or obligations, or (ii) the indemnifying party's willful misconduct.

Data Security and Compliance

Licensee will implement and maintain appropriate administrative, physical, and technical safeguards to protect Licensed Data. Licensee shall comply with applicable laws regarding personal data, market abuse, and embargoes when using the Licensed Data.

Governing Law; Dispute Resolution

This Agreement is governed by the laws of without regard to conflict of law principles. Parties agree to seek resolution through good faith negotiation, and, if unresolved, through arbitration unless otherwise agreed.

Miscellaneous

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a sale of substantially all assets or a change of control.
