FINANCIAL MARKET DATA LICENSE MASTER SERVICES AGREEMENT

This Master Services Agreement ("Agreement") is entered into as of by and between:

Definitions

Capitalized terms used in this Agreement have the meanings set forth herein. "Data Products" means the market data, reference data, derived data, metadata and related materials described in Schedule A and delivered by Licensor to Licensee. "Authorized Users" means the individuals and systems expressly permitted to access and use the Data Products under Schedule A and Section 3.

License Grant and Restrictions

Subject to the terms and conditions of this Agreement and payment of all Fees, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable license to access and use the Data Products solely for the Permitted Uses specified in Schedule A during the Term. Licensee shall ensure access is limited to Authorized Users and shall not permit redistribution, resale, sublicensing, or use for any market data feed aggregation or replication service unless expressly permitted in Schedule A.

Delivery, Format and Service Levels

Licensor shall deliver Data Products by the delivery method(s) and in the formats set forth below. Licensor will use commercially reasonable efforts to meet the service levels specified in Schedule A.

Audit Rights, Records and Compliance

Licensor shall have the right to audit Licensee's use of Data Products upon reasonable notice to verify compliance with the terms of this Agreement. Licensee shall retain records sufficient to demonstrate compliance for a period of . Audits shall be conducted no more than once per calendar year unless material non-compliance is suspected.

Term, Termination and Survival

The initial Term of this Agreement shall be and shall unless either party provides written notice of non-renewal at least prior to expiration.

Licensee shall implement and maintain technical and organizational measures appropriate to the risk to protect the Data Products from unauthorized access, disclosure, or use.

Intellectual Property, Warranties and Indemnity

Licensor retains all right, title and interest in and to the Data Products and underlying intellectual property. Licensee acknowledges that no ownership rights are conveyed except for the limited license rights expressly granted.

Licensor warrants that it has the right to license the Data Products. EXCEPT FOR THE FOREGOING, LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Limitation of Liability

Except for liability arising from breach of confidentiality, willful misconduct, or indemnity obligations, each party's aggregate liability for claims arising under this Agreement is limited to the greater of the Fees paid by Licensee in the preceding or .
