Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party that is identified as confidential or would reasonably be understood to be confidential. Confidential information shall not include information that (i) is or becomes generally available to the public other than through a breach of this Agreement, (ii) was in the receiving party's possession prior to disclosure, or (iii) is rightfully received from a third party without restriction.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements. No amendment shall be effective unless in writing and signed by authorized representatives of both parties. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in connection with the sale of substantially all of its assets or business.

This Agreement may be executed in counterparts and delivered by electronic signature, each of which shall be deemed an original and all of which together shall constitute one instrument.
