Representations, Covenants and Warranties

The Franchisor represents that, to the best of its knowledge, the financial statements and estimates contained in this Financial Master FDD are prepared in good faith and reflect material information reasonably available. The Master Franchisee covenants to provide accurate and complete financial disclosures as required by the Franchisor for territorial approvals and ongoing reporting. Both parties warrant that they have full authority to enter into the Master Franchise Agreement subject to the terms herein.

Default, Remedies and Indemnification

Upon material breach of payment obligations or other material provisions of the Master Franchise Agreement, the non-breaching party may pursue all remedies available at law or in equity, including injunctive relief, collection of unpaid amounts plus accrued interest, costs of collection and attorneys' fees.
