Recitals and Effective Date

This Financial Meter Lease (the "Lease") is entered into by Lessor and Lessee effective as of (the "Effective Date"). Lessor desires to lease to Lessee and Lessee desires to lease from Lessor the equipment described below on the terms set forth in this Lease.

This Lease shall continue for the Lease Term and shall automatically terminate on the Expiration Date unless earlier terminated in accordance with this Lease. Lessee shall have no right to retain the Equipment after termination except by express written agreement of Lessor.

Lessee shall operate and maintain the Equipment in accordance with manufacturer's instructions and shall notify Lessor promptly of defects. Lessor shall be responsible for major repairs except if damage is caused by Lessee's negligence, misuse, or modification, in which case Lessee shall bear repair costs.

Title, Risk of Loss and Insurance

Title to the Equipment shall remain with Lessor at all times. Risk of loss or damage to the Equipment shall be borne by Lessee from the Commencement Date. Lessee shall maintain insurance covering loss, theft, damage and public liability with limits not less than $ and shall name Lessor as an additional insured and loss payee as required by Lessor.

Taxes and Regulatory Charges

Lessee shall be responsible for all sales, use, privilege, personal property, and other taxes, assessments, fees and charges arising from Lessee's possession or use of the Equipment, except taxes based on Lessor's net income. Lessee shall provide evidence of payment of such taxes upon request.

Default and Remedies

An Event of Default occurs if Lessee fails to pay rent or other amounts when due or fails to perform any covenant under this Lease and such failure continues for days after written notice. Upon Event of Default, Lessor may, without limiting other remedies, accelerate sums due, recover damages, retake and remove the Equipment, and require Lessee to pay repossession and recovery costs, including reasonable attorneys' fees.

Assignment and Sublease

Lessee shall not assign, encumber or sublease the Equipment or this Lease without Lessor's prior written consent, which shall not be unreasonably withheld. Any attempted assignment without consent shall be void and constitute default.

Notices

Indemnity and Limitation of Liability

Lessee shall indemnify, defend and hold harmless Lessor, its affiliates and agents from and against any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising out of Lessee's use, operation, installation, maintenance, or testing of the Equipment, except to the extent caused by Lessor's gross negligence or willful misconduct. Lessor's aggregate liability for claims arising under or in connection with this Lease shall not exceed the total rent paid by Lessee in the six (6) months preceding the claim.

Return of Equipment

Upon expiration or termination, Lessee shall, at its expense, return the Equipment to Lessor in the same condition as delivered, ordinary wear and tear excepted. Removals, uninstallation, or restoration required by Lessor shall be Lessee's responsibility unless otherwise agreed in writing.

Governing Law and Miscellaneous

This Lease shall be governed by and construed in accordance with the laws of the state of . Headings are for reference only. This Lease constitutes the entire agreement between the parties and may be amended only in a written instrument signed by both parties.

Acknowledgment

Each party represents and warrants that the person executing this Lease on its behalf is duly authorized to bind that party, and that the party has the full right and authority to enter into and perform this Lease. Failure by Lessee to pay rent when due shall be a material breach and, after any applicable cure period, entitle Lessor to repossess the Equipment and pursue all remedies at law or in equity.
