Payment Terms and Instructions

Payment Terms: Client will pay invoices within days of receipt of an invoice that evidences acceptance of the applicable milestone in accordance with this Agreement. Late payments shall accrue interest at on the outstanding balance, compounded monthly, to the maximum extent permitted by law.

Retainage (if any): of each milestone payment shall be retained and released upon final acceptance of all deliverables unless otherwise agreed in writing.

Invoicing, Acceptance and Adjustments

Invoicing Procedure: The Service Provider shall submit a written invoice referencing the applicable milestone number and attaching evidence that the Deliverable Criteria are met. Client shall have calendar days to review and either accept in writing or provide a written list of deficiencies. Absent timely notice of deficiencies, the milestone shall be deemed accepted.

Adjustment of Payment: If Client reasonably documents material non-conformance with the Deliverable Criteria, Client may withhold payment in whole or in part until the deficiency is corrected. Any dispute regarding acceptance or invoice amount shall be governed by the Dispute Resolution clause below.

Taxes; Withholding

Each party is responsible for its own taxes arising from this Agreement. Client may withhold amounts required by applicable law from payments if Client provides written notification and documentation supporting such withholding. Supplier shall provide tax documentation reasonably requested by Client to substantiate tax treatment.

Default; Remedies

Material Breach: A party shall be in material breach if it fails to perform any material obligation and does not cure such failure within days after written notice. Remedies: The non-breaching party may suspend performance, withhold payments, or terminate this Agreement in accordance with applicable law. All remedies are cumulative.

Confidentiality; Intellectual Property

Confidential Information exchanged under this Agreement shall remain the property of the disclosing party and shall be used only for performance of this Agreement. Unless otherwise agreed in writing, intellectual property created specifically for Client under a paid milestone will be assigned to Client upon full payment; Service Provider will retain background IP and grant Client a license as necessary to use deliverables.

Governing Law; Notices

Governing Law: This Agreement is governed by the laws of the State of without regard to conflict of law principles.

Amendments; Assignment

This Agreement may be amended only by a written instrument signed by authorized representatives of both parties. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a sale of substantially all assets.
