FINANCIAL MONEYTHUMB AGREEMENT

Parties and Effective Date

This Financial MoneyThumb Agreement ("Agreement") is entered into as of Effective Date:

Recitals

WHEREAS, Client engages MoneyThumb to provide financial services, data processing, or software services as set forth in this Agreement; and WHEREAS, MoneyThumb agrees to provide such services to Client under the terms and conditions herein.

Definitions

"Services" means the financial data services, software, processing, and support described in Section 3. "Confidential Information" means non-public technical, business and financial information disclosed by a party in connection with this Agreement.

Services; Scope of Work

MoneyThumb shall perform the Services in accordance with professional standards applicable to the financial technology industry and as described in the Description of Services above. Any change in scope will require a written change order signed by both parties.

Fees, Invoicing and Payment

Client shall pay MoneyThumb the fees set forth in the fee schedule below. All amounts are due in U.S. dollars and are exclusive of taxes unless otherwise stated.

Payment Authorization (Optional)

Client authorizes MoneyThumb to initiate electronic debits or credits to the account specified below for payments due under this Agreement. Authorization remains in effect until revoked in writing in accordance with the Notices section.

Term; Termination

The initial term of this Agreement shall be . Either party may terminate for convenience upon days' prior written notice.

Confidentiality

Each party shall maintain the confidentiality of the other's Confidential Information and shall not disclose such information except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those herein. Confidentiality obligations survive termination for a period of three (3) years unless otherwise required by law.

Data Security and Privacy

MoneyThumb shall implement and maintain reasonable technical, physical and administrative safeguards designed to protect Client data. MoneyThumb will notify Client of any security incident involving Client data in accordance with applicable law and this Agreement.

Representations, Indemnity, and Limitation of Liability

Each party represents that it has the authority to enter into this Agreement. Client shall indemnify and hold harmless MoneyThumb from third-party claims arising from Client's use of the Services or Client-provided data. MoneyThumb's aggregate liability for any claim arising out of or relating to this Agreement shall not exceed the total fees paid by Client to MoneyThumb in the twelve (12) months preceding the claim. Neither party shall be liable for incidental, special, punitive or consequential damages.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of without regard to its conflicts of law principles. Parties agree to attempt to resolve disputes through good-faith negotiation prior to commencing any litigation or arbitration.

Notices

Notices shall be in writing and delivered to the address for each party set forth below. Notice is effective upon receipt.

Assignment; Amendment; Entire Agreement

Neither party may assign this Agreement without the prior written consent of the other, except that MoneyThumb may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. This Agreement may be amended only by a written instrument signed by both parties. This Agreement constitutes the entire agreement between the parties with respect to its subject matter.
