Recitals and Scope

WHEREAS, Client engages Provider to deliver services and/or goods as set forth in individual Statements of Work, purchase orders, or invoices issued pursuant to this Agreement (Collectively, Services); and WHEREAS, the parties desire to establish uniform billing, payment, and authorization procedures to govern all financial transactions between them.

Definitions

"Invoice" means any written or electronic billing statement submitted by Provider to Client setting forth fees and expenses due. "Business Day" means any day other than a Saturday, Sunday, or federal bank holiday. "Payment Due Date" means the date payment is required as set forth in the Invoice or as otherwise agreed in writing.

Payment Terms

Provider shall submit Invoices to Client at the intervals specified in applicable Statements of Work. Unless otherwise stated in an Invoice, Client shall pay all undisputed amounts within calendar days of receipt ("Payment Term"). Late payments will accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, calculated from the Payment Due Date until paid.

Invoicing and Fee Schedule

Each Invoice shall contain a clear description of Services, the Invoice number, Invoice date, period of service, and supporting detail. Taxes and other governmental charges will be billed in addition to amounts stated unless Client provides a valid tax exemption certificate.

Taxes, Withholding and Records

Each party is responsible for its own taxes. Client shall withhold any taxes if required by law and shall provide Provider with official documentation evidencing such withholding. Provider shall maintain complete and accurate records related to services and payments for a period of no less than three (3) years and shall permit Client to audit such records upon reasonable notice.

Default, Remedies, and Set-Off

If Client fails to pay any undisputed amount within the Payment Term, Provider may suspend performance after ten (10) days' written notice of nonpayment. Either party may terminate this Agreement for material breach if such breach is not cured within thirty (30) days after written notice. Provider may set off any amounts owed to Client against amounts owed by Client to Provider, provided Provider delivers a notice describing the basis for set-off.

Confidentiality and Data Protection

Each party shall maintain as confidential all non-public information disclosed by the other party in connection with this Agreement. Confidential information shall not include information that is publicly known or rightfully obtained from a third party. The parties shall implement commercially reasonable administrative, technical, and physical safeguards to protect personal data processed in the provision of Services.

Indemnity; Limitation of Liability

Each party shall indemnify and hold harmless the other party from third-party claims arising out of that party's gross negligence, willful misconduct, or breach of this Agreement. Except for liability arising from willful misconduct, indemnification obligations, or liability for death or bodily injury, neither party's aggregate liability shall exceed the amounts actually paid under this Agreement during the twelve (12) months preceding the claim.

Dispute Resolution and Governing Law

The parties shall first attempt in good faith to resolve disputes amicably. If unresolved within sixty (60) days, disputes shall be resolved by binding arbitration in the agreed jurisdiction. This Agreement shall be governed by the laws of the state specified below without regard to conflict-of-law principles.

Notices

All notices required under this Agreement shall be in writing and delivered to the contact information set forth above or to such other address designated in writing. Notices shall be effective upon receipt.

By executing below, Client authorizes Provider to charge payments in accordance with this Agreement and any agreed payment schedule. Client represents that the person signing has authority to bind Client to this Agreement.
