FINANCIAL MASTER SERVICES AGREEMENT

This Master Services Agreement ("Agreement") is entered into as of Effective Date: by and between the parties identified below.

Recitals

WHEREAS, Provider is engaged in the business of providing financial services as set forth herein; and WHEREAS, Client desires to retain Provider to perform such services under the terms and conditions of this Agreement. The parties agree as follows.

Definitions

Capitalized terms used in this Agreement shall have the meanings set forth in this section. "Services" means the financial services described in the Scope of Services. "Confidential Information" has the meaning set out in the Confidentiality section. "Fees" means amounts payable to Provider under this Agreement.

Scope of Services

Fees, Expenses and Payment

Provider will be compensated as set forth below. All Fees are payable in United States dollars unless otherwise agreed in writing.

Payment Terms: Client shall pay all undisputed invoices within days of invoice receipt. Late payments shall incur interest at the lesser of 1.5% per month or the maximum rate permitted by law.

Invoicing and Records

Provider shall submit itemized invoices that identify Services performed, time spent, applicable rates, and reimbursable expenses. Client shall notify Provider of any disputed charges within days of receipt, failing which the invoice shall be deemed accepted.

Taxes

All Fees exclude taxes. Client shall be responsible for all sales, use and other taxes, excluding taxes based on Provider's net income. If Provider is required to collect or remit taxes, such amounts will be itemized on invoices.

Confidentiality

Intellectual Property

Except as expressly provided, each party retains all right, title and interest in its pre-existing intellectual property. Work product created by Provider specifically for Client under this Agreement will be owned by Client upon full payment, except for Provider's tools, methodologies and know-how, which remain Provider's sole property.

Representations, Warranties and Compliance

Each party represents that it has full corporate power and authority to enter into this Agreement. Provider represents that it will perform Services in a professional and workmanlike manner. Each party agrees to comply with applicable laws, rules and regulations, including applicable anti-money laundering, sanctions and data protection laws when performing its obligations.

Indemnification

Limitation of Liability

Except for liability resulting from gross negligence, willful misconduct, or breach of confidentiality, each party's aggregate liability arising out of or related to this Agreement shall not exceed the total Fees paid by Client to Provider in the twelve (12) months preceding the claim. Neither party shall be liable for consequential, incidental, special or punitive damages.

Audit and Records

Provider shall retain records relating to Services and Fees for a minimum of three (3) years. Client or its authorized representative may audit Provider's relevant records upon reasonable prior notice, during normal business hours, not more than once per calendar year, and subject to confidentiality protections.

Insurance

Provider shall maintain commercial general liability, professional liability and cyber liability insurance with limits reasonable for the services provided and shall provide certificates of insurance upon Client request.

Term and Termination

The term of this Agreement shall commence on the Effective Date and continue until terminated in accordance with this section. Either party may terminate for convenience upon days' prior written notice. Either party may terminate immediately for material breach if such breach is not cured within thirty (30) days following written notice.

Effects of Termination

Upon termination, Provider shall cease providing Services and Client shall pay for Services performed and unreimbursed expenses incurred through the effective date of termination. Sections entitled Confidentiality, Indemnification, Limitation of Liability, and Notices shall survive termination or expiration.

Notices

Notices shall be in writing and delivered to the addresses set forth below or such other address as either party may designate by notice to the other in accordance with this provision. Notices shall be effective upon receipt.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below. The parties shall attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be resolved by binding arbitration unless the parties agree otherwise.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings. Amendments must be in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.

Acknowledgement

Each party represents and warrants that the individual signing below is duly authorized to execute this Agreement on behalf of such party and that this Agreement constitutes a valid and binding obligation of such party.
