Confidentiality and Publicity

Except as required by law, neither party shall disclose confidential information received from the other. The Non-Profit agrees to acknowledge the Funder in public materials as provided in any attached acknowledgment schedule, subject to the Funder's written approval of the form of acknowledgment.

Termination

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for cause may be immediate upon written notice for material breach. Upon termination, the Non-Profit shall promptly return any unexpended restricted funds to the Funder or otherwise dispose of such funds as directed by the Funder.
