Principal and Terms

For value received, Borrower promises to pay to the order of Lender the principal sum of $ together with interest on the unpaid principal balance at the rate of per annum, computed on a 365-day year basis. This Note shall mature on unless earlier accelerated in accordance with this instrument.

Payment Provisions

Installment Payments — Borrower shall pay principal and accrued interest in consecutive installments according to the repayment schedule below.

Balloon Payment — Borrower shall pay interest periodically and all remaining principal in one lump sum on the maturity date.

If any installment is not paid within days after its due date, Borrower shall pay a late charge equal to the lesser of percent of the overdue amount or the maximum permitted by law.

Default and Remedies

The occurrence of any of the following shall constitute an Event of Default: failure to pay any amount when due and such failure continues for a period of ten (10) days after written notice; Borrower becomes insolvent or admits in writing its inability to pay its debts; Borrower files or has filed against it a petition in bankruptcy not dismissed within sixty (60) days; or a material breach of any covenant in this Note.

Upon Event of Default, Lender may, at its option and without notice or demand (to the extent permitted by law), declare the entire unpaid principal and all accrued interest immediately due and payable. Lender shall be entitled to pursue all remedies available at law or in equity, including foreclosure on collateral if secured, collection costs, and reasonable attorneys' fees.

Representations, Covenants and Miscellaneous

Borrower represents and warrants that it has full power and authority to execute and perform this Note, that the execution and performance do not violate any agreement or law, and that no authorization, consent or approval of any court, governmental authority, or third party is required for the execution or performance of this Note except as disclosed to Lender in writing.

This Note may be assigned by Lender. Any assignment shall not affect Borrower's obligations hereunder. No failure or delay by Lender in exercising any right shall operate as a waiver. If any provision is unenforceable, the remainder shall remain in full force and effect.

All notices, demands or communications required or permitted under this Note shall be in writing and shall be delivered to the addresses set forth below (or such other address as a party may designate by written notice).
