FINANCIAL NOTE CONVERSION AGREEMENT

Recitals

This Financial Note Conversion Agreement (the Agreement) is entered into by and between the Company named above and the Holder named above. The parties agree that the convertible promissory note originally issued to the Holder as evidenced by Note Number dated (the Note), in the original principal amount of $, together with accrued but unpaid interest in the amount of $, shall be converted into equity of the Company on the terms and subject to the conditions set forth below.

Definitions

For purposes of this Agreement, the following terms have the meanings set forth below: "Conversion Amount" means the outstanding principal and accrued but unpaid interest under the Note as of the Conversion Date; "Conversion Date" means the date on which conversion is effected in accordance with Section Conversion Mechanics; "Conversion Shares" means the number and class of equity securities issued to the Holder upon conversion of the Note.

Conversion Terms

1. Conversion Trigger and Date. The Holder elects to convert the Conversion Amount into equity on (the Conversion Date), in accordance with the procedures set forth herein.

If a specific conversion price is not otherwise set forth, the Conversion Price shall be determined as the lesser of (a) the price per share equal to the Valuation Cap divided by the Company's fully diluted capitalization, or (b) a discount to the price per share paid by investors in the qualifying equity financing.

2. Procedure. Conversion shall be effected upon delivery by the Holder to the Company of a written Notice of Conversion specifying the Conversion Amount and the desired form of equity. Within business days following receipt of such notice and all required documentation, the Company shall deliver certificates or evidence of book-entry reflecting the Conversion Shares.

Adjustments; Anti-Dilution

3. Adjustments. The Conversion Price and number of Conversion Shares shall be subject to customary adjustments for stock splits, stock dividends, combinations, reclassifications and other recapitalizations. Any anti-dilution adjustments shall be applied as set forth in this Section unless otherwise agreed in writing.

Representations and Warranties

4. Company Representations. The Company represents and warrants that: (a) it is duly organized and in good standing under the laws of its jurisdiction of organization; (b) issuance of Conversion Shares has been duly authorized and, when issued in accordance with this Agreement, will be validly issued, fully paid and nonassessable; and (c) no consent, approval or filing is required for the issuance of the Conversion Shares other than those obtained or waived in writing.

5. Holder Representations. The Holder represents and warrants that it has full power and authority to enter into this Agreement and to effect the conversion of the Note, that the Note is owned of record and beneficially by the Holder free and clear of liens and encumbrances (other than those specified herein), and that the Holder is acquiring the Conversion Shares for investment for its own account and not with a view to any distribution in violation of applicable securities laws.

Default and Remedies

6. Events of Default. For purposes of the Note and this Agreement, Events of Default shall include failure to pay principal or interest when due, insolvency or bankruptcy of the Company, or material breach of the Company's representations and covenants. Upon an Event of Default, the Holder's remedies shall include acceleration, specific performance, and any other remedies available at law or in equity.

Notices

7. Notices. All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below by hand, nationally recognized overnight courier, or certified mail, return receipt requested. Notices are effective upon receipt.

Miscellaneous

8. Governing Law; Entire Agreement. This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. This Agreement, together with the Note and any exhibits or schedules hereto, constitutes the entire agreement among the parties with respect to its subject matter and supersedes all prior agreements and understandings.

9. Amendment and Waiver. Any amendment or waiver of this Agreement must be in writing and signed by the Company and the Holder.

10. Severability. If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
