Representations and Warranties

Assignor represents and warrants that on the Effective Date it is the lawful owner of, and has good and marketable title to, the Assigned Interests free and clear of any lien, security interest, or other encumbrance except as disclosed in writing to the Assignee. Assignor further warrants that no further assignment, sale or transfer of the Assigned Interests has been made which would materially impair Assignee's rights.

Assignee represents that it has the corporate authority to accept the assignment and that payment instructions provided herein are intended to be binding on Assignee upon execution.

Default; Remedies

In the event Assignor breaches the representations herein or fails to provide clear title to the Assigned Interests, Assignee shall be entitled to pursue all remedies at law or in equity, including but not limited to injunctive relief and recovery of costs and expenses, including reasonable attorneys' fees. Failure of Assignee to exercise any remedy shall not constitute a waiver of any other remedy.

All notices related to this Assignment shall be sent to the addresses provided in the Parties section and shall be effective upon receipt by personal delivery, certified mail, or nationally recognized courier.

Governing Law; Miscellaneous

This Notification and any dispute arising under or related to it shall be governed by the laws of the jurisdiction selected by the parties below. This Notification may be executed in counterparts, each of which shall be an original and all of which together shall constitute one and the same instrument.
