Acceptance of this Quote by the Client creates a binding agreement only when signed by an authorized representative of both parties. The issuer warrants that prices set forth in this Quote are valid for the period indicated under Valid Until above and are exclusive of applicable taxes unless otherwise specified.

Taxes and Withholding: All taxes, duties, and other governmental charges not specifically stated as included are the responsibility of the Client. If the Client is required by law to withhold any amount from payments, the Client shall notify the issuer prior to payment and remit grossed-up amounts so the issuer receives the full amount invoiced.

Limitation of Liability: Except for willful misconduct or gross negligence, the issuer's aggregate liability arising out of or in connection with this Quote shall not exceed the total fees actually paid under the resulting agreement. In no event shall the issuer be liable for lost profits, consequential, incidental, or punitive damages.

Cancellation & Rescheduling: Cancellation or rescheduling of services must be provided in writing. Fees for work performed prior to cancellation and reasonable demobilization costs are payable by the Client. Where goods have been procured, the Client is responsible for any non-recoverable costs.

Governing Law: This Quote and any resulting agreement shall be governed by the substantive laws of the jurisdiction where the issuer's principal office is located, without regard to its conflict of laws principles.
