TERMS & LEGAL PROVISIONS

1. Binding Confirmation: This document is intended to be a binding confirmation of the order(s) described herein. Except as provided in a separate written agreement between the parties, the terms contained in this confirmation constitute the entire agreement with respect to the transactions described.

2. Settlement and Transfer of Title: Title and risk of loss shall transfer in accordance with the market convention applicable to the instrument and as expressly set forth in this confirmation. The Client shall ensure funds and/or securities are available for settlement by the intended settlement date.

3. Default and Remedies: On a default by either party, the non-defaulting party shall have all remedies available at law or in equity, including, without limitation, netting of obligations, liquidating positions and charging interest on overdue amounts.

4. Tax Indemnity: Each party shall be responsible for its own taxes arising from the transactions, except that the Client shall indemnify the Broker for any taxes, duties or charges (other than taxes on the Broker's net income) imposed in connection with the Client's instructions or settlement.

5. Notices: All notices or communications required under this confirmation shall be in writing and delivered to the contact details provided above. Notices shall be effective upon receipt.

6. Governing Law and Jurisdiction: This confirmation shall be governed by and construed in accordance with the governing law selected below. The parties submit to the exclusive jurisdiction of the selected courts for disputes arising under this confirmation.
