Terms, Warranties and Consent

The Payer warrants that the account information provided is accurate and that the Payer is an authorized signer on the specified account. The Payer authorizes the Payee to debit the account in accordance with this agreement and acknowledges that debits may be adjusted to correct errors, subject to the Payer's rights under applicable law.

The Payee will obtain any required pre-notification in the form and timeframe required by applicable rules and will provide advance notice of any change to the amount, frequency, or timing of debits where such notice is required. The Payer may cancel this authorization by providing written notice to the Payee at least two business days prior to the next scheduled debit, or such other notice period required by applicable law.

The Payer retains all recourse rights available under applicable law for wrongful or erroneous debits, including the right to dispute an unauthorized or incorrect debit with the financial institution from which the debit was withdrawn. The Payee will not be liable for any dishonour of a debit resulting from incorrect account information provided by the Payer.

Revocation, Changes and Liability

This authorization remains in effect until terminated in writing by either party in accordance with the notice requirements set forth herein. The Payee may amend collection details (including account and remittance information) upon written notice to the Payer; such change will not affect debits initiated prior to the effective date of the change.

The Payer agrees to indemnify and hold harmless the Payee for loss, costs, or damages resulting from the Payer's failure to provide accurate account information or to maintain sufficient funds, except where such loss is directly caused by the Payee's gross negligence or willful misconduct.

Privacy and Record Keeping

The Payee will treat the Payer's banking and personal information as confidential and will use such information solely to execute the pre-authorized debits described in this agreement and to comply with applicable law. The Payee will retain records of the authorization and provide copies to the Payer upon request.
