FINANCIAL PLUMBING AGREEMENT

This Financial Plumbing Agreement (the Agreement) is entered into as of (Effective Date) by and between:

RECITALS

Provider operates a set of services and systems that facilitate payment routing, reconciliation, settlement, and other financial infrastructure functions (collectively, Services). Client desires to engage Provider to perform the Services on the terms and conditions set forth in this Agreement.

DEFINITIONS

"Services" means the operational, technical and settlement services described in Section 3 and in the Services Schedule provided by Provider to Client. "Transaction" means any payment or transfer of funds routed or processed by Provider on behalf of Client. Other capitalized terms used but not defined in this Agreement shall have the meanings given in the Services Schedule.

SCOPE OF SERVICES

Provider agrees to provide the Services described in the Services Description below and in any annexed schedule. Provider shall perform the Services in a professional manner consistent with industry practice and shall maintain commercially reasonable technical and organizational safeguards to protect Client data.

FEES, INVOICING AND PAYMENT

Client shall pay Provider the fees set forth in the fee schedule below. Fees are exclusive of applicable taxes unless otherwise stated. Provider will invoice Client in accordance with the invoicing schedule below and Client shall pay invoices in accordance with the Payment Terms.

TAXES

Client is responsible for all sales, use and other transactional taxes imposed by any governmental authority in connection with the Services, excluding taxes based on Provider's net income. If Provider is required to collect or pay any such taxes, Client shall reimburse Provider.

CONFIDENTIALITY

Each party shall keep confidential all Confidential Information of the other party and shall not disclose such information except to those employees, contractors or agents who have a need to know and who are bound by obligations of confidentiality at least as protective as those in this Agreement. Confidentiality obligations remain in force for three (3) years after termination, except for trade secrets which shall remain protected for as long as they qualify as trade secrets.

DATA SECURITY AND COMPLIANCE

Provider shall implement and maintain administrative, physical and technical safeguards reasonably designed to protect Client Data. Provider shall comply with applicable laws regarding anti-money laundering, sanctions screening and payment network rules. Client shall provide accurate KYC information and shall not use the Services for illegal purposes.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or a party's breach of confidentiality or indemnification obligations, the aggregate liability of either party under this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

INDEMNIFICATION

Each party (Indemnifying Party) shall defend, indemnify and hold harmless the other party (Indemnified Party) from and against any third-party claims, liabilities, damages and expenses arising out of the Indemnifying Party's breach of representations, misuse of the Services, or violation of applicable law, provided the Indemnified Party: (a) gives prompt written notice of the claim; (b) allows the Indemnifying Party to control the defense and settlement; and (c) reasonably cooperates.

TERM AND TERMINATION

The initial term of this Agreement shall begin on the Effective Date and continue for (Initial Term). Thereafter this Agreement shall automatically renew for successive terms of unless either party provides written notice of non-renewal at least prior to the end of the then-current term.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within after receipt of written notice. Provider may suspend Services immediately if required by applicable law, sanction lists, or payment network rules.

AUDIT RIGHTS AND RECORDS

Provider shall maintain accurate records relating to Transactions and fees for a period of not less than two (2) years. Client may audit relevant records upon reasonable notice, during normal business hours, subject to confidentiality obligations and at Client's expense unless the audit reveals material overbilling.

NOTICES

All notices under this Agreement must be in writing and delivered to the addresses set forth below by certified mail, overnight courier, or email to the designated notice contact (email address must be provided).

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the jurisdiction identified below without regard to conflict-of-laws principles. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration if the parties agree, otherwise in the courts of the chosen jurisdiction.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties concerning the Services and supersedes all prior agreements and understandings. Any amendment must be in writing and signed by authorized representatives of both parties. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
