FINANCIAL POINTS AGREEMENT

Recitals

This Financial Points Agreement (the Agreement) is made effective as of (the Effective Date), by and between the Issuer named above and the Recipient named above. The Issuer desires to grant certain financial points to the Recipient and the Recipient desires to accept such points on the terms and conditions set forth below.

Definitions

Capitalized terms used in this Agreement have the following meanings:

"Points" means the units granted pursuant to Section Grant of Points that entitle the Recipient to specified monetary payments or revenues as described herein.

"Point Value" means the monetary value assigned to each Point, as set forth in this Agreement.

Grant of Points

Issuer hereby grants to Recipient a total of Points (Total Points). The Point Value at the Effective Date is per Point.

Points Schedule and Calculation

Points shall be calculated and paid according to the following schedule and methodology. Payment is based on the product of Points and Point Value, adjusted as provided herein.

Payment Terms

Payment of amounts due under this Agreement shall be made by within days after issuance of an invoice or payment notice. Late payments shall accrue interest at a rate of until paid.

Reporting; Records

Issuer shall deliver to Recipient a written statement showing the calculation of Points, adjustments, and amounts due for each payment period within days after the end of the relevant period. Issuer shall retain adequate records supporting the calculations for not less than years and shall make such records available to Recipient upon reasonable request.

Transferability and Assignment

Points are    unless otherwise agreed in writing by the Issuer and Recipient. Any attempt to assign in violation of this provision shall be void.

Taxes and Withholding

Each party shall be responsible for its own taxes arising from payments or receipt of Points hereunder. Issuer may withhold amounts required by applicable law and shall provide Recipient with documentation of any withholding. The party responsible for grossing up or other tax-related payments:

Representations and Warranties

Each Party represents and warrants that: (a) it has full power and authority to enter into this Agreement; (b) the execution and delivery of this Agreement and the performance of its obligations do not conflict with any law, contract or agreement binding on such Party; and (c) the person signing on its behalf is duly authorized to execute this Agreement.

Default and Remedies

If either Party fails to perform any material obligation under this Agreement and such failure continues for a period of days after written notice, the non-defaulting Party may pursue all available remedies at law or in equity, including specific performance, injunctive relief, and recovery of costs and attorneys' fees.

Indemnification

Each Party (the Indemnifying Party) shall indemnify, defend and hold harmless the other Party and its affiliates from and against any and all claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of a breach of such indemnifying Party's representations, warranties or covenants under this Agreement.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a Party may specify by notice. Notices shall be deemed given when delivered personally, by confirmed courier, or three (3) business days after deposit in certified mail.

Governing Law; Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The Parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising from this Agreement.

Miscellaneous

This Agreement may be amended only by a written instrument signed by both Parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior negotiations and agreements, whether written or oral.
