The Portfolio Manager shall disclose all material conflicts of interest arising from any proprietary products, related-party transactions, or broker arrangements. The Manager represents that it will act in the Client's best interest and, where applicable, follow the Client's direction regarding trade execution and directed brokerage.

Representations, Warranties and Client Covenants

The Client represents and warrants that the assets placed under management are free and clear of liens and encumbrances except as disclosed to the Portfolio Manager, that the Client has the authority to enter into this Agreement, and that all information provided to the Portfolio Manager is true, complete and up to date.

Liability, Indemnification and Insurance

The Portfolio Manager shall perform its duties with the care, skill and prudence ordinarily exercised by investment managers in similar circumstances. The Client agrees to indemnify and hold harmless the Portfolio Manager from losses arising from Client's breach of this Agreement, except to the extent caused by the Portfolio Manager's gross negligence, willful misconduct or material breach.

Term, Termination and Amendment

Term: This Agreement shall commence on the Effective Date and shall continue until terminated by either party upon thirty (30) days' prior written notice, subject to settlement of fees and expenses and transfer of accounts.

Governing Law and Notices

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below. Any notices required under this Agreement shall be in writing and delivered to the addresses set forth in this Agreement.

Confidentiality

Each party agrees to keep confidential all nonpublic information received from the other party and to use such information only for the purposes of performing under this Agreement, except as required by law or regulation.

Miscellaneous Provisions

Entire Agreement: This Agreement, together with any schedules or addenda executed by the parties, constitutes the entire understanding between the parties and supersedes all prior agreements and understandings, oral or written.

Acknowledgment and Certification

By signing below, the parties certify that they have read and understood the terms of this Agreement, have the authority to enter into this Agreement, and agree to be bound by its terms.
