FINANCIAL POWER PURCHASE AGREEMENT (PPA)

This Financial Power Purchase Agreement ("Agreement") is made and entered into as of Effective Date: by and between the parties set forth below.

Payments, Invoicing and Billing Schedule

Billing Period: Monthly, ending on the last day of each calendar month. Seller shall issue an invoice to Buyer within calendar days after the end of the Billing Period. Buyer shall pay the undisputed portion of each invoice within calendar days of receipt.

Payment method: wire transfer to Seller's nominated account, ACH, or other methods as agreed in writing. Late payment shall incur interest at the rate of on the overdue amount from the due date until paid in full.

Default and Termination

An Event of Default shall occur where a party materially breaches any obligation and fails to cure within calendar days after written notice. Upon an uncured Event of Default, the non-defaulting party may pursue termination, damages and enforcement of security.

Neither party shall be liable for failure to perform obligations caused by Force Majeure events beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, or governmental action. The affected party shall notify the other promptly and use reasonable efforts to mitigate impacts.

Taxes and Regulatory Charges

All taxes, levies, duties and charges imposed on payments made under this Agreement shall be allocated as follows: Seller responsible for taxes on generation; Buyer responsible for gross receipts and transmission-related charges, unless otherwise required by applicable law. Specific tax treatment:

Each party represents and warrants that it is duly organized, has authority to enter into and perform its obligations under this Agreement, and that execution and delivery of this Agreement will not violate any material agreement or law.
