SECURITY, RIGHTS, AND ASSIGNMENT

As security for repayment, Borrower grants Lender a first priority lien and security interest in all premiums financed hereunder and any refunds, dividends, indemnity payments, insurance proceeds, or claims arising from the financed policy(ies). Borrower assigns to Lender all right, title and interest in and to premiums payable under the policy identified above and authorizes the Insurer to pay any refundable premium or indemnity directly to Lender.

EVENTS OF DEFAULT & REMEDIES

Events of Default include, without limitation, Borrower's failure to pay any installment within ten (10) days after its due date, material misrepresentation regarding crop acreage, insolvency, commencement of bankruptcy proceedings by or against Borrower, or cancellation or material impairment of the underlying insurance policy. Upon Event of Default, Lender may declare the entire unpaid balance immediately due and payable, exercise rights against collateral, set off sums, and pursue all other remedies available at law or in equity.

REPRESENTATIONS, WARRANTIES AND COVENANTS

Borrower represents and warrants that (a) the information provided herein is true and complete; (b) Borrower has the authority to insure the crops and to assign premiums; (c) the financed premiums are for agricultural insurance covering the crops identified herein; and (d) no material facts have been omitted that would make the representations misleading. Borrower covenants to maintain the policy in full force and to notify Lender in writing of any change, cancellation or lapse.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by personal delivery, certified mail (return receipt requested), or overnight courier. Notices are effective upon receipt.

GOVERNING LAW & MISCELLANEOUS

This Agreement shall be governed by and construed in accordance with the laws of the state of . Borrower and Lender expressly consent to jurisdiction and venue in the state and federal courts located in that state. Any modification of this Agreement must be in writing and signed by both parties.
