FINANCIAL PRICE ADDENDUM

This Financial Price Addendum ("Addendum") is entered into as of and amends the Original Agreement identified below between the parties listed herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows.

Adjusted Price Schedule

The following price schedule supersedes the corresponding pricing provisions of the Original Agreement for the items and services listed below for the period specified in this Addendum.

Payment and Invoicing

Invoices reflecting adjusted pricing shall be issued by Seller in accordance with the Original Agreement and shall reference this Addendum. Payment is due within calendar days of invoice receipt unless otherwise stated below.

Price Adjustment Terms

Unless otherwise specified, price adjustments set forth in this Addendum take effect on the Effective Date above and shall remain in effect for the period of from that date. Adjustments are calculated on the basis described below.

Late Payment; Default

Any overdue payment shall bear interest at the rate of percent per month (or the maximum rate permitted by law, if lower), assessed from the invoice due date until paid. Prior to exercise of any remedies for non-payment, the non-defaulting party shall give the defaulting party written notice and a minimum of ten (10) calendar days to cure.

Taxes, Duties, and Compliance

Prices set forth in this Addendum are exclusive of taxes, duties, and similar governmental charges unless expressly noted. The party required by law to remit such taxes shall be responsible for payment. Any tax-exempt status claimed by Buyer must be supported by appropriate documentation prior to invoicing.

Change Orders and Modifications

All changes to quantities, specifications, or scope that affect price shall be documented in a written Change Order signed by authorized representatives of both parties. Except as expressly amended by a signed Change Order, the Original Agreement and this Addendum remain in full force and effect.

Representations and Warranties

Each party represents and warrants that it has full authority to enter into this Addendum and that the execution and performance of this Addendum will not violate any other agreement or obligation to which it is subject.

Governing Law and Venue

This Addendum shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. Exclusive venue for disputes arising under this Addendum shall be the courts located within that jurisdiction, unless the parties agree in writing otherwise.

Miscellaneous

Except as expressly amended by this Addendum, all terms and conditions of the Original Agreement remain unchanged and in full force and effect. This Addendum, together with the Original Agreement and any executed Change Orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings.
