FINANCIAL PRICE INCREASE ADDENDUM

ADJUSTMENT TERMS

1. Application. The New Unit Price set forth above shall apply to all purchase orders placed on or after the effective date listed for each line item. Orders accepted by Supplier prior to the applicable effective date shall be invoiced at the Current Unit Price unless otherwise expressly agreed in writing.

2. Calculation Methodology. Unless otherwise specified, percentage increases are applied to the Current Unit Price to determine the New Unit Price. Any discounts, rebates or volume pricing referenced in the Original Agreement shall continue to apply to the New Unit Price only to the extent expressly preserved in writing.

3. Notice. Supplier shall provide written notice of price changes at least days prior to application, except when a different notice period is expressly provided in the Original Agreement.

4. Invoicing. Supplier will reflect the New Unit Price on invoices issued for orders subject to this Addendum. Client shall not be liable for invoices that do not comply with the New Unit Price if Client provides written notice of noncompliance within thirty (30) days of receipt.

TAXES, FEES AND SCHEDULE

All taxes, levies and similar governmental charges arising from the price adjustments shall be the responsibility of unless otherwise required by law.

DEFAULT, REMEDIES AND LIMITATIONS

Except as modified herein, all rights and remedies for breach or default under the Original Agreement remain in full force. The parties acknowledge that the New Unit Price is a contractual pricing term; failure to pay amounts due hereunder shall constitute a breach subject to the Original Agreement's default provisions, including late fees and interest where applicable.

REPRESENTATIONS; AUTHORITY

Each party represents and warrants that it has full power and authority to enter into and perform this Addendum and that the individual executing this Addendum on behalf of each party is duly authorized to bind that party.

MISCELLANEOUS

This Addendum shall be governed by the laws of the State of without regard to conflict of laws principles. Except as expressly modified hereby, all terms and conditions of the Original Agreement remain unchanged and in full force and effect. If any provision of this Addendum is held invalid or unenforceable, the remainder of this Addendum shall remain in full force and effect.

NOTICES

All notices required or permitted under this Addendum shall be in writing and delivered to the contacts listed above or to updated contacts provided in writing. Notice is effective upon receipt.
