3. Taxes and Duties: Unless stated otherwise, applicable sales, use, excise, and other taxes are not included and will be invoiced to the client unless a valid exemption certificate is provided.

4. Limitation of Liability: The issuer's liability for direct damages arising from this proposal shall be limited to the total amount paid under any resulting agreement. In no event shall the issuer be liable for indirect, incidental, consequential, or punitive damages.

5. Warranty: Warranties, if any, are limited to those expressly provided in writing. Manufacturer warranties for supplied goods pass through to the client to the extent allowed and are separate from the issuer's obligations.

6. Governing Law: This Price Out and any resulting agreement shall be governed by the laws of the state governing the issuer's principal place of business, without regard to conflict-of-law principles.
