1. Application of New Prices: Unless otherwise specified for a particular line item, the new unit prices set forth in this Financial Price Update shall apply to all orders accepted on or after the applicable Effective Date. Any purchase orders submitted prior to the Effective Date shall be honored at prior pricing only if accepted in writing by the Issuer.

2. Notices and Acceptance: Client shall provide written acceptance or written objection to this Update within 30 days of Date Issued. Failure to provide written objection within that period shall be deemed acceptance of the updated prices as to future orders and invoices dated on or after the Effective Date(s).

3. Payment Terms and Late Fees: Existing payment terms remain in force unless amended in writing. Late payments shall accrue interest at the rate provided in the existing master agreement or, if none, at the lesser of 1.5% per month or the maximum lawful rate. The Issuer reserves the right to require advance payment or modified terms where price increases materially affect credit exposure.

4. Dispute Procedure: Disputes regarding the correctness of a price change or calculation must be submitted in writing within 15 days of Client's receipt of invoice reflecting the new price. Parties shall negotiate in good faith and document any agreed adjustments in writing. Timely payment of undisputed amounts is required.

5. Survival and Remedies: The remedies provided herein are cumulative and in addition to any rights available under the parties' underlying agreements. Any provision that by its nature survives termination or expiration shall survive.
