FINANCIAL PRODUCTION CONTRACT

Scope of Services

Producer shall perform the Production Services described in the Scope of Work. Deliverables, acceptance criteria, and schedule will be as specified below. Producer will perform services in a professional and workmanlike manner in accordance with industry standards.

Compensation & Payment

Client shall pay Producer the fees set forth below. All fees are exclusive of taxes unless otherwise stated. Unless otherwise agreed in writing, sums are payable in U.S. dollars.

Expenses & Reimbursements

Client will reimburse reasonable and preapproved out-of-pocket expenses incurred by Producer in connection with the Production Services. Reimbursable expense types and approval thresholds should be documented below.

Intellectual Property

Unless otherwise agreed in writing, Producer assigns to Client all right, title, and interest in and to deliverables specifically created for Client under this Agreement upon full payment. Producer retains ownership of its preexisting materials, tools, methodologies, and general know-how. Each party grants the other a nonexclusive license to use background IP solely to the extent necessary for performance.

Confidentiality

Each party shall treat as confidential all nonpublic information disclosed in connection with this Agreement and shall not disclose such information except as required by law. Confidentiality obligations shall continue for years from disclosure.

Representations, Warranties & Indemnity

Each party represents and warrants that it has full power and authority to enter into this Agreement. Producer warrants that deliverables will conform materially to the agreed specifications for a period of 30 days following delivery. Client shall indemnify and hold Producer harmless from claims arising out of Client-provided data, materials, or misuse of deliverables. Producer shall indemnify Client for claims arising from Producer's gross negligence or willful misconduct.

Limitation of Liability

Except for liability arising from gross negligence, willful misconduct, or indemnity obligations, neither party's aggregate liability for claims arising out of this Agreement will exceed the fees paid to Producer under this Agreement during the 12-month period preceding the event giving rise to the claim.

Term & Termination

This Agreement commences on the Effective Date and continues until completion of the Production Services unless earlier terminated. Either party may terminate for convenience with days' prior written notice. Upon termination, Client will pay Producer for all services performed and reasonable expenses incurred through the effective date of termination.

Insurance & Compliance

Producer shall maintain commercially reasonable insurance coverage and comply with applicable laws and regulations in performing the services. Specific insurance requirements, if any, are:

Dispute Resolution & Governing Law

The parties will first attempt to resolve disputes by good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the parties' selected rules. This Agreement is governed by the laws of the state specified below.

All notices required or permitted under this Agreement must be in writing and sent to the addresses set forth below or to such other address as a party designates in writing.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes prior agreements. Any amendment must be in writing and signed by authorized representatives. If any provision is held unenforceable, the remainder will remain in effect.
