Payment Terms: . Unless otherwise agreed in writing, the Proforma amount is payable in the currency of the invoice and according to the payment method selected below.

Late Payment: Invoices arising from this Proforma that remain unpaid after the agreed due date shall incur interest at the rate of 1.5% per month (or the maximum lawful rate, if lower). The payer shall also be responsible for reasonable collection costs, including legal fees, incurred by the Supplier in enforcing payment.

Delivery, Risk & Warranty

Delivery Terms: Goods and materials shall be delivered in accordance with the delivery schedule requested above. Risk of loss passes to the Client upon shipment or as otherwise specified in any subsequent sales contract. Any dispatch or delivery dates provided in this Proforma are estimates only; the Supplier shall not be liable for delays caused by events beyond the Supplier's reasonable control.

Warranty: Where a warranty applies, it will be provided in the Supplier's standard warranty document accompanying the final invoice or shipment. This Proforma does not itself create an express warranty beyond what is expressly stated herein.

Important: This Proforma Invoice is an estimated statement of charges and is not a final tax invoice. Acceptance of this Proforma by the Client is evidenced by payment of all or part of the Proforma amount or by written acceptance. Upon acceptance and receipt of payment (as applicable), the Supplier will proceed to fulfill the order and issue a final commercial invoice reflecting amounts actually charged. The Supplier reserves the right to correct clerical errors in this Proforma.
