2. Representations and Warranties: Each party represents and warrants that it has full power and authority to enter into this Addendum; that the person executing this Addendum on its behalf is duly authorized; and that execution and performance will not violate any law or other agreement binding on the party.

3. Compliance; Reporting: Participant shall comply with all material program requirements set forth in the Original Agreement as modified by this Addendum. Participant shall provide periodic reports and access to records as required by the Program Administrator for monitoring and audit purposes.

4. Indemnity: Participant agrees to indemnify, defend and hold harmless the Program Administrator and its officers, directors and agents from any losses, liabilities, claims, damages or expenses (including reasonable attorneys' fees) arising from Participant's breach of this Addendum or negligent or willful acts or omissions in connection with the Program.

5. Default: A default under this Addendum shall include failure to make required payments, material breach of reporting obligations, insolvency, or any material misrepresentation. Upon default the Program Administrator may accelerate obligations, suspend disbursements, impose default interest at the rate specified in the Original Agreement or this Addendum, and pursue any remedies available at law or equity.
