Taxes: Client is responsible for all applicable sales, use, value-added, and other taxes, except taxes based on the net income of Financial Progressive Apps. Any tax amounts will be added to the invoice unless a valid tax exemption certificate is provided prior to billing.

Deliverables, Acceptance and Corrections: Unless otherwise specified in a separate statement of work, deliverables are accepted when Client provides written acceptance or does not provide written rejection within 10 business days following delivery. Corrections to deliverables required due to issuer error are provided at no additional charge for 30 days after acceptance; corrections resulting from Client change requests are subject to additional fees.

Limitation of Liability: To the maximum extent permitted by law, Financial Progressive Apps' liability for any claim arising out of or relating to this invoice or the services billed herein will be limited to direct damages not to exceed the aggregate amount actually paid by Client to Financial Progressive Apps under this invoice. In no event will either party be liable for consequential, incidental, special or punitive damages.

Confidentiality: Each party shall treat all non-public information disclosed by the other party in connection with services as confidential and shall not disclose such information except as required by law. Confidentiality obligations survive for two years from the date of disclosure.

Governing Law and Dispute Resolution: This invoice and any disputes arising from it shall be governed by the laws of the state specified in the statement of work or, if none, the state of the issuer's principal place of business. Parties agree to attempt mediation prior to initiating litigation. If litigation is necessary, venue shall be the appropriate court in the governing state.
